Licensing

This is a little bit more behind the scenes admin work of programming but a group of us are starting to design a piece of software with potential commercial value. Does anyone know how to copyright the idea/bound the group members to a bunch of rules.....

And is that all it takes..... can i just make up a set of rules and get all to sign them and then if anyone decides to take off with the code/idea/whatever, we can legally hold it up against them??????
